Acquisition Planning through Transaction Closing

  • Developed and negotiated successful deal framework for acquisition of Gum Technologies and managed subsequent diligence process through closing for Penford Corporation, a publicly-traded specialty food and industrial products company.

 

  • Engaged by CFO of World Kitchen LLC, a private-equity owned consumer products company (Corelle®, Pyrex®, Snapware®, Corningware®) to develop acquisition strategy, including recommendation of top priority product segments, geographies, and capabilities.

 

  • Following Board of Directors’ approval of strategy, generated deal flow from investment banks and strategic sources, resulting in closure of significant acquisition; responsible for overall project leadership with internal team and external resources (outside legal counsel, investment bank), including: opportunity evaluation, bid submission, negotiation support, contract documentation, Board review and recommendation, and timely path to closure.

 

  • ​Completed due diligence, valuation and negotiation support for a Chicago-based investor’s purchase of a controlling interest in Running Away Enterprises, a retailing and running race management company. Also supported transition planning, including the recruitment of a controller to the operating company

Acquisition Sourcing

  • Developed acquisition campaign strategy in collaboration with CEO and CFO of Talent Partners (portfolio company of ABRY Partners); contacted over a dozen prospective acquisition targets, resulting in qualification of and a completed transaction for the purchase of PES Payroll

 

  • Secured proprietary introduction to specialty services market-leader, resulting in $50+ million acquisition for industrial services client.

 

  • Developed a new market growth and acquisition program for AmSan LLC, an industrial products distribution company (portfolio company of GTCR, Chicago-based private equity firm), focusing on topline growth and leverage of their existing warehouse and delivery capabilities.  

 

Acquisition Target Evaluation and Due Diligence

  • Prioritized add-on acquisition opportunities and participated in multiple on-site diligence investigations for Penford Corporation, a publicly-traded specialty industrial products company.

 

  • Evaluated two acquisitions for the European operations of Decision Insight Information Group, a private-equity-owned leader in data and decision support services for insurers and mortgage lenders. The assignment included strategic evaluation, development of financial models, scenario analyses, due diligence planning and execution, and negotiation support. Also advised on renegotiation of a strategic supplier relationship.

 

  • Evaluated multiple acquisition candidates for major safety testing company; also supported five-year financial planning and growth priority process. 

Divestitures

  • Closed divestiture of non-strategic product rights to leading Mexican housewares company, including transfer of trademark registrations, disposition of existing sales/distribution agreements, and completion of all transaction documentation.

 

  • Completed product divestiture program for privately-held consumer pharmaceuticals company, including development of non-confidential and confidential marketing materials, outreach to prospective strategic and financial acquirers, and negotiation support to client through deal closure.
